Reseller Terms & Conditions

Welcome to the RecordsKeeper.AI Reseller Program! By participating in this program, you agree to the following terms and conditions:

1. Eligibility

To participate in the RecordsKeeper.AI Reseller Program, you must:

Have a valid business license.
Provide sales, marketing, compliance, business intelligence, or data management services to clients.

2. Reseller Rights

As a reseller, you are granted a non-exclusive, non-transferable right to market and sell RecordsKeeper.AI products and services under these terms.

3. Subscription Requirements

Reseller clients must purchase their own subscription to be added as users under the Reseller Account.
Resellers are not required to purchase a RecordsKeeper.AI subscription but are encouraged to do so.

4. Pricing Policy

Resellers cannot charge clients directly for access to RecordsKeeper.AI software.
Reseller must adhere to the official pricing as shared by RecordsKeeper.AI
No modifications or unauthorized discounts are allowed.

5. Order Processing

All reseller client orders must be processed through RecordsKeeper.AI’s billing system.
Resellers may use their own credit card to purchase client subscriptions but assume full financial responsibility.
Resellers are responsible for accurate order fulfillment and customer service.
Once a Reseller successfully co-sells their first deal, a RecordsKeeper.AI Customer Success Manager will be assigned to assist.

6. Onboarding & Support Responsibilities

Resellers are responsible for providing onboarding, setup, and ongoing assistance to clients.
Reseller Clients will not receive a direct Customer Success Manager from RecordsKeeper.AI.
Clients may use RecordsKeeper.AI’s support chat for product-related assistance.

7. Marketing & Promotion

Resellers must use approved marketing materials or receive written approval for custom campaigns.
False or misleading claims about RecordsKeeper.AI are strictly prohibited.
Paid search policy:
- Resellers may not bid on RecordsKeeper.AI trademarks in Google, Bing, or other search engines.
- Resellers must direct ads to their own website, not RecordsKeeper.AI’s domain.
- Trademark violations will result in immediate termination.

8. Commission Structure

Resellers will receive a pre-agreed upon commission on client subscription for the life cycle of the client’s active subscription, provided:

The client remains under the Reseller Account.
The Reseller maintains an active professional services agreement with the client.

Payment Terms:

Commission payment are made within the specified time period finalized as per the reseller contract
Minimum payment threshold: Varies depending on the nature of the deal in purview.
If a reseller unlinks a client’s account, RecordsKeeper.AI may continue commission payments for up to 12 months at its sole discretion.
Refunds or credits issued to clients will be deducted from commission payments.

Tax Responsibility:

Resellers are responsible for all applicable taxes.
Resellers must provide a valid reseller certificate if applicable.

9. Confidentiality

Resellers must keep all proprietary information confidential, including:

Pricing structures
Marketing strategies
Customer data

No disclosure to third parties without written consent from RecordsKeeper.AI.

10. Non-Solicitation

Resellers agree not to solicit RecordsKeeper.AI employees or contractors for employment during the term of this Agreement and for 12 months thereafter.

11. Termination

RecordsKeeper.AI may terminate this agreement immediately if the Reseller:

Violates these terms.
Engages in fraudulent activity.
Misrepresents RecordsKeeper.AI’s products.

Upon termination, the Reseller forfeits all unpaid commissions.

12. Limitation of Liability

RecordsKeeper.AI shall not be liable for indirect, incidental, or consequential damages arising from the Reseller’s participation in this Program.

13. Modifications

RecordsKeeper.AI reserves the right to modify these terms at any time. Resellers will be notified of any changes.

By participating in the RecordsKeeper.AI Reseller Program, you acknowledge that you have read, understood, and agree to be bound by these terms and conditions.
